Welcome to Praxis. These Terms and Conditions ("Terms") govern your use of the Praxis mobile application, website, and related services (collectively, the "Services") provided by Praxis Inc. ("Praxis," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

2Account Registration

To access certain features, you must create an account. You agree to:

3Description of Services

Praxis is a behavior change platform that helps you build consistency and achieve your goals through:

✓AI Coaching: Personalized guidance and motivation from an AI-powered coach
✓Discipline Score: A metric that tracks your consistency and follow-through
✓Reminders and Notifications: Timely prompts to help you stay on track
✓Progress Analytics: Insights into your performance and habits

4AI Coach Disclaimer

Important: The AI coach is designed to provide general guidance and motivation for behavior change and productivity. It is not a substitute for professional advice.

•The AI coach does not provide medical, psychological, financial, or legal advice
•AI responses are generated algorithmically and may not always be accurate or appropriate
•You should consult qualified professionals for health, mental health, or other serious concerns
•You are solely responsible for decisions made based on AI coach suggestions

5Subscriptions and Payments

5.1 Free and Premium Features

Praxis offers both free and premium subscription tiers. Premium features require a paid subscription.

5.2 Billing

•Subscriptions are billed in advance on a recurring basis (monthly or annually)
•Payment is processed through Apple App Store, Google Play Store, or other authorized payment providers
•Prices are subject to change with reasonable notice

5.3 Cancellation and Refunds

•You may cancel your subscription at any time through your app store account settings
•Cancellation takes effect at the end of the current billing period
•Refunds are handled according to the policies of your app store (Apple or Google)

5.4 Free Trials

If you sign up for a free trial, you will be automatically enrolled in a paid subscription at the end of the trial period unless you cancel before the trial ends.

6User Content

6.1 Your Content

You retain ownership of any content you create through the Services, including goals, tasks, notes, and messages. By using our Services, you grant us a limited license to use, store, and process your content to provide and improve the Services.

6.2 Content Standards

You agree not to use the Services to:

✗Upload illegal, harmful, threatening, abusive, or objectionable content
✗Violate any applicable laws or regulations
✗Infringe on intellectual property rights of others
✗Attempt to gain unauthorized access to our systems
✗Interfere with or disrupt the Services

7Intellectual Property

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and algorithms), are owned by Praxis or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

8Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from using the Services.

9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXIS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

10Indemnification

You agree to indemnify, defend, and hold harmless Praxis and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

11Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by deleting your account through the app or contacting us.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Praxis regarding the use of the Services and supersede any prior agreements.
